Terms of Service

Please read these Terms carefully. By creating an account or using Elea, you agree to be bound by these Terms of Service. If you are accepting on behalf of a company, you confirm you have authority to bind that entity.
1. Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you (or the organization you represent) and Zeno Global LLC, a Delaware limited liability company ("Elea", "we", "us"). By creating an account, clicking to accept, or otherwise accessing or using the Elea platform ("Service"), you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Elea is a stack intelligence and compliance platform that helps technology teams analyze, document, and improve the compliance posture of their technology stacks. The Service includes stack management tools, AI-powered compliance audits, AI model registry documentation, governance analysis, compliance recommendations, and related features. We may add, modify, or remove features at any time. We will provide reasonable notice of material changes.
3. Accounts
You must create an account to use the Service. You agree to: • Provide accurate and complete information at registration and keep it current • Maintain the security of your login credentials • Accept responsibility for all activity under your account • Notify us immediately at legal@zenoglobal.io if you suspect unauthorized access You may not create accounts using automated means, misrepresent your identity, or use the Service if you are under 16 years of age.
4. Subscriptions and Billing
4.1 Plans
The Service is offered under Free, Silver, Gold, Executive, and Enterprise plans with varying features and usage limits as described on our pricing page. We reserve the right to change plan features or pricing with 30 days' notice to existing paid subscribers.
4.2 Billing
Paid plans are billed monthly in advance. By providing payment information, you authorize us to charge applicable fees to your payment method via Stripe. All fees are stated in US dollars and are exclusive of applicable taxes.
4.3 Cancellation and Refunds
You may cancel at any time through Settings. Your access continues until the end of the current billing period. We do not provide prorated refunds for unused portions of a billing period, except where required by applicable law.
4.4 Free Plan
The Free plan is provided at no charge and may be modified or discontinued with 30 days' notice. We reserve the right to suspend free accounts that are inactive for more than 12 consecutive months.
5. Your Data
5.1 Your Ownership
You retain all rights to data you submit to the Service. Nothing in these Terms transfers intellectual property ownership of your data to us.
5.2 License to Operate
You grant Zeno Global LLC a limited, non-exclusive, royalty-free license to store, process, and display your data solely to provide the Service to you. We do not use your data for any other purpose, including training AI models.
5.3 Accuracy of AI-Generated Content
Compliance findings, recommendations, and analysis generated by the Service are provided for informational purposes and do not constitute legal advice. AI systems have inherent limitations and may produce errors or omissions. You are responsible for verifying findings with qualified legal and compliance professionals before taking action. Elea is not a law firm.
5.4 Retention
Data is retained per our Privacy Policy. You may delete your data at any time. Upon account deletion, data is removed within 30 days subject to legal retention requirements.
6. Acceptable Use
You agree not to: • Use the Service in violation of any applicable law or regulation • Submit false, misleading, or fraudulent information • Attempt to reverse-engineer, decompile, or extract our proprietary compliance knowledge base or source code • Use automated tools to scrape or mass-download data from the Service • Share account credentials with unauthorized parties • Attempt to circumvent plan limits or access features outside your subscription • Upload malware, viruses, or malicious code • Attempt to access other users' accounts or data • Interfere with the Service's infrastructure or other users' experience Violation of these restrictions may result in immediate suspension or termination of your account.
7. AI-Powered Features
The Service uses Claude (Anthropic) to generate compliance analysis, audit findings, and recommendations. By using these features, you acknowledge: • AI-generated content may contain errors or inaccuracies • AI outputs do not constitute legal, regulatory, or professional advice • Compliance with laws and regulations remains your sole responsibility • The accuracy of AI outputs depends on the completeness of information you provide • We make no warranty as to the suitability of AI-generated content for any specific legal or compliance purpose • You should independently verify material AI-generated findings before acting on them
8. Intellectual Property
The Elea platform — including its software, design, compliance frameworks, tool catalog, and knowledge base — is owned by Zeno Global LLC and protected by applicable intellectual property laws. You are granted a limited, non-transferable license to use the Service for your internal business purposes during your subscription term. You may not copy, reproduce, modify, sell, or sublicense any part of the Service, or attempt to extract our source code or proprietary data, except as expressly permitted by law.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT COMPLIANCE AUDIT RESULTS WILL BE ACCURATE OR COMPLETE, OR THAT USE OF THE SERVICE WILL RESULT IN LEGAL COMPLIANCE WITH ANY REGULATION. COMPLIANCE WITH APPLICABLE LAWS REMAINS YOUR RESPONSIBILITY. THE SERVICE IS A TOOL TO ASSIST — IT DOES NOT GUARANTEE LEGAL COMPLIANCE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENO GLOBAL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). These limitations apply regardless of the theory of liability. Some jurisdictions do not allow exclusion of certain damages, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Zeno Global LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, your violation of any law or third-party rights, or content you submit to the Service.
12. Termination
We may suspend or terminate your access immediately if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. You may terminate your account at any time through Settings. Upon termination, your right to use the Service ceases immediately. Data will be handled per our Privacy Policy. Provisions that by nature survive termination — including intellectual property, disclaimers, limitations of liability, and indemnification — remain in effect.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute will first be submitted to good-faith negotiation. If unresolved, disputes will be settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property matters or breaches causing irreparable harm.
14. Changes to These Terms
We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email and a notice on the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. General
These Terms constitute the entire agreement between you and Zeno Global LLC regarding the Service. If any provision is found unenforceable, the remaining provisions continue in effect.
